The US food delivery application could assume delivery in an agreement of £ 2.7 billion.
The Board of betweenwoo said it is in conversations with Dordash Inc after an “indicative proposal” of the firm received on April 5.
The Board has said that if there is a firm offer of £ 1.80 per action “it would be a mind to recommend” the agreement to deliver to the shareholders, provided there was an agreement on other terms.
In a statement published with the consent of Dordash, he added: “Consequently, the Board of Freeoo decided to participate in discussions with Dordash in relation to the possible offer and has provided Dortash access to due diligence.
“There can be no certainty that a firm offer is made for Deliveroo.
“At this time, shareholders are recommended to take measures regarding the possible offer.”
Dordash must make a firm offer for May 23.
Deliveroo, who was co -founded by executive director Will Shu in 2013, operates in nine countries and works with about 135,000 runners worldwide.
Dordash, which was founded in 2013, describes itself as a “technology company that connects consumers with their favorite local companies in more than 30 countries worldwide.”
He bought Finnish rival Wolt in an agreement of any shared worth 8.0 billion US dollars (£ 6.3 billion) in 2021.
